1. Introduction

Welcome to bydynamics b.v. apps and services. These terms and conditions govern your access to and use of bydynamics b.v. software, integrations, websites, and related services, available via Microsoft Marketplace or other official bydynamics channels.

By accessing or using our apps and services, you agree to these terms. If you do not agree, you must not use the apps or services.

2. Intellectual Property Rights

Unless otherwise stated, bydynamics b.v. and/or its licensors own all intellectual property rights in the apps, services, and related materials. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable right to use the apps and services for your internal business purposes, subject to these terms.

3. Service Scope, Pricing, and Changes

Some apps or services may be offered free of charge at the time of use.

bydynamics b.v. may introduce, modify, or discontinue pricing, subscription plans, features, or service components at any time with reasonable prior notice where applicable. Changes will apply prospectively only.

Continued use after the effective date of updated pricing or terms may require acceptance of such updates.

4. Privacy

Information about how bydynamics b.v. processes personal data is provided in the Privacy Policy.

5. Customer Responsibilities

You are responsible for:

• maintaining lawful grounds and permissions for any data you submit;
• configuring user access rights and protecting account credentials;
• using the apps and services in compliance with applicable law;
• promptly notifying bydynamics b.v. of suspected unauthorized access or misuse.

You must not use the apps or services in any unlawful, fraudulent, harmful, or abusive manner, or in any way that may impair service availability or security.

6. Limitation of Liability

To the maximum extent permitted by law, bydynamics b.v. and its officers, directors, and employees will not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, revenue, data, or goodwill, arising from or related to use of the apps or services.

Any aggregate liability of bydynamics b.v. for direct damages arising out of or in connection with these terms shall be limited to the amounts paid by you for the relevant app or service during the 12 months preceding the event giving rise to the claim, unless mandatory law requires otherwise.

7. Indemnification

You agree to indemnify and hold harmless bydynamics b.v. from and against liabilities, damages, costs, and expenses arising from your breach of these terms or your unlawful use of the apps or services.

8. Suspension and Termination

bydynamics b.v. may suspend or terminate access, in whole or in part, with immediate effect where reasonably necessary to protect service security, prevent misuse, or address material breaches of these terms.

Upon termination, your right to use the affected apps and services ends immediately.

9. Governing Law and Jurisdiction

These terms are governed by the laws of the Netherlands.

Any disputes arising from or related to these terms shall be submitted to the non-exclusive jurisdiction of the competent courts in the Netherlands.

10. Changes to These Terms

bydynamics b.v. may revise these terms from time to time. The latest version will apply from the stated effective date. Continued use of the apps or services after that date constitutes acceptance of the updated terms.
